Pricing‌:

‌Prices quoted are valid only through the quote expiration date above. Customer will be billed in accordance with billing frequency noted above. Prices shown do not include any taxes that may apply. Except as expressly set forth in the Subscription Services Agreement, this Sales Order Form is non-cancelable before the Subscription Expiration Date above, and fees paid are non-refundable, except as specified in the Subscription Services Agreement. All prices are provided in USD.

Professional Services:

Xfactor.io requires reimbursement for actual and reasonable travel expenses incurred by Xfactor.io to perform Professional Services described in this Order Form and/or Statement of Work. Upon request, Xfactor.io will furnish documentation supporting such expenses. Xfactor.io reserves the right to cancel any Professional Services (including training) ordered but not used within twelve (12) months of the date of this Order Form, and no refund of prepaid fees or credits shall be due.

Support Services:

During the Subscription Term, Xfactor.io shall provide the Support Services as set forth at: https://www.xfactor.io/service-levels-support-services.

Subscription Services Agreement (SSA):

By signing this order form, I agree, as the Customer’s authorized signatory, that this Sales Order Form is governed by the Xfactor.io Subscription Services Agreement (“Agreement”), which can be viewed at https://www.xfactor.io/subscription-and-services-agreement. Any capitalized terms not otherwise defined in this Sales Order Form shall have the meaning attributed in the Agreement. I agree that the Customer is bound by the terms of the Agreement and that subscriptions will automatically renew unless Customer provides written notice of non-renewal at least thirty (30) days before the current Subscription Term ends.

Purpose of the Terms Opt-Out Clause

The strategic purpose of requiring an executed Order Form with the Right to Opt-Out clause prior to commencing a Proof of Value (POV) is to establish commercial commitment and mutual accountability. This structure transforms the evaluation from a simple free trial into a highly focused, revenue-vested implementation.

By signing the agreement upfront, the customer commits their resources (time, data access) and signals serious intent to purchase, knowing that failure to deliver a formal cancellation notice by the deadline automatically triggers acceptance and payment obligations. This process saves significant engineering and pre-sales effort by prioritizing only those deals that have already cleared the final commercial hurdle.

Right to Opt-Out and Acceptance of Term

Trial and Opt-Out Period. Customer shall have a period of 90 days, commencing on the Effective Date of this Order Form (the ” Opt-Out Period “), to evaluate the Subscription Services. If Customer is not satisfied with the Subscription Services for any reason, Customer may opt out of the full commitment and cancel this Order Form without penalty by providing written notice of cancellation (the ” Opt-Out Notice “) to accounting@xfactor.io before 5:00 PM PT on the final day of the Opt-Out Period. Any Opt-Out Notice must be clearly identified as a cancellation notice and clearly state Customer’s intent to terminate.

Acceptance and Payment Obligation. If Customer fails to provide a valid Opt-Out Notice within the Opt-Out Period, Customer shall be deemed to have accepted the Subscription Services and this Order Form in full. Upon acceptance, (a) Subscription Term shall commence on the day immediately following the end of the Opt-Out Period; (b) the full Subscription Fees detailed in this Order Form will become due and payable in accordance with the Payment Terms herein; and (c) Customer acknowledges and agrees that after the Opt-Out Period expires, this Order Form and the underlying subscription are non-cancelable and non-refundable for the remainder of the Initial Subscription Term regardless of actual usage.
